This notice applies to every investor-facing page, figure and form on this website, and to any material we share with you. It explains why nothing published here is an offer of securities, and sets out the risks that anyone considering an investment in an early-stage venture business must weigh.

In short

Nothing on this site offers or solicits any investment. We are a private company, no prospectus has been filed with BSEC, nothing is listed, and the investor form collects expressions of interest only. Any investment would happen privately under a signed agreement. Early-stage investments are illiquid and can lose all of their value.

This summary is for orientation only. The numbered clauses below are the terms that apply, and they prevail wherever the summary is shorter than they are.

1.What this notice is

This notice governs every investor-facing part of this website — including the Investment Opportunity pages, the investor updates, any figures or projections shown, and the expression-of-interest form — together with any document, deck or data room material that Global 360 Ventures Group makes available to you.

Please read it before you rely on anything we publish. By accessing our investor pages or submitting an expression of interest, you confirm that you have read and accepted it.

Read this first

An investment in an early-stage venture business puts your entire capital at risk. You should be prepared to lose the whole of any amount you commit, and you should not commit money you cannot afford to lose.

2.This is not an offer or a solicitation

Nothing on this website, and nothing in any material linked from it, constitutes or forms part of:

  • an offer to sell, or the solicitation of an offer to buy or subscribe for, any share, unit, debenture, bond, token or other security or investment;
  • a prospectus, offer document, information memorandum, private placement memorandum or financial promotion;
  • an invitation to the public to subscribe for any share or debenture;
  • any inducement or recommendation to enter into any investment activity or transaction.

Global 360 Ventures Group is a privately held company. Under section 2(1)(q) of the Companies Act, 1994, the articles of a private company prohibit any invitation to the public to subscribe for its shares or debentures, and the company must certify in its annual return that it has issued none. We observe that restriction. This website is published for general corporate information.

The expression-of-interest form on our investor pages collects contact details and a summary of your interest so that we can decide whether to open a private conversation with you. Submitting it does not make you an investor, does not reserve or allocate any security to you, does not oblige us to provide any further information, and does not oblige us to respond. Any investment, if one ever proceeds, would be made privately with identified persons and would be documented in a separate, signed, binding agreement — never through this website.

3.No regulatory approval, no listing

  • No prospectus, offer document or information memorandum relating to Global 360 Ventures Group or any of its ventures has been filed with, reviewed by, approved by or registered with the Bangladesh Securities and Exchange Commission (BSEC) or any other securities regulator.
  • No securities of the company are listed or traded on the Dhaka Stock Exchange, the Chittagong Stock Exchange, or any other exchange or trading facility, and none are expected to be in the foreseeable future.
  • Neither the company nor any of its officers is licensed or authorised as a securities dealer, broker, merchant banker, portfolio manager, investment adviser or fund manager in Bangladesh or in any other jurisdiction.
  • No regulator has passed on the merits, accuracy or adequacy of anything published on this website. Any representation to the contrary would be untrue.

4.This is information, not advice

Nothing on this website is investment, financial, legal, tax, accounting or regulatory advice, and nothing on it takes account of your objectives, financial situation, tax position, risk tolerance or particular needs.

We are not your adviser and owe you no fiduciary duty. Reading this site, corresponding with us, or submitting an expression of interest creates no advisory relationship. You must form your own view, and you should take independent advice from a qualified professional in your own jurisdiction before making any investment decision.

5.Who these pages are meant for

Our investor pages are intended for institutions, funds, family offices, and experienced private investors who are able to evaluate an unlisted, illiquid, early-stage opportunity and to bear the loss of their entire investment. They are not intended for retail investors or members of the general public.

By submitting an expression of interest you represent that you meet that description, that you are acting on your own account or with proper authority, and that you are permitted by the law of your own country to make the enquiry you are making.

6.Restrictions by country

This website is published from Bangladesh and is accessible worldwide, but it is not directed at any person in any jurisdiction where publishing or accessing it would be unlawful or would require us to be registered or licensed there. If that describes your jurisdiction, this notice is not addressed to you and you should not act on our investor pages.

Bangladesh

Our investor content is corporate information, not an invitation to the public to subscribe. Any private placement would be conducted in compliance with the Companies Act, 1994, the Securities and Exchange Ordinance, 1969, the Securities and Exchange Commission Act, 1993 and the rules made under them.

United Kingdom

Nothing on this website is a financial promotion for the purposes of section 21 of the Financial Services and Markets Act 2000. It has not been made or approved by an authorised person. Unlisted shares of this kind, where any offering were ever made in the UK, would be communicated only to persons falling within an exemption under the Financial Promotion Order 2005 — such as certified high net worth individuals, certified or self-certified sophisticated investors, or investment professionals — and no other person in the UK should rely on our investor pages.

United States

No securities of the company have been or will be registered under the US Securities Act of 1933, as amended, or with any state securities regulator. They may not be offered or sold in the United States or to, or for the account or benefit of, any US person absent registration or an applicable exemption. Our investor pages do not constitute an offer of securities in the United States.

Everywhere else

It is your responsibility to observe any restriction that applies where you are. Accessing our investor pages from a jurisdiction where doing so is restricted is at your own risk, and we accept no liability for any breach of local law by a reader.

7.Forward-looking statements and venture stage

We publish the build stage of every venture in our portfolio — concept, design, development, prototype, MVP or early commercial preparation — because that stage governs how everything else about it should be read. Most of our products are not yet generating revenue.

Statements about plans, roadmaps, target markets, launch dates, expected users, revenue, margins, funding requirements or expansion are forward-looking. They are estimates made in good faith on assumptions we consider reasonable at the time of publication, but they are not facts, not promises, and not guarantees of any result.

Past performance is not a guide

No financial projection, illustrative return, valuation or model shown anywhere on this site or in any material we share should be treated as a forecast of actual performance. Actual results will differ, and may differ materially and adversely.

Except where the law requires it, we do not undertake to revise or update any forward-looking statement after it is published.

8.Risk factors

This is not an exhaustive list, and the risks below may combine. Anyone considering an investment should read it carefully and take advice.

  • Total loss of capital. Early-stage ventures fail frequently. You may lose the entire amount you invest.
  • Illiquidity. Our shares are unlisted and there is no market for them. You may be unable to sell at any price, for many years or ever, and transfer restrictions in the articles may further limit any sale.
  • Dilution. Later funding rounds may be issued at a lower price or on preferential terms, reducing the value and the proportion of an earlier holding.
  • No dividends. We expect to reinvest any surplus into the ventures. You should not expect income.
  • Execution risk. Products at prototype and MVP stage may never reach commercial release, may not achieve product-market fit, and may take substantially longer and cost substantially more than planned.
  • Concentration risk. Our ventures run on one shared platform and one team. A failure in that platform, or the loss of that team, affects the whole portfolio at once rather than one venture.
  • Key person risk. We depend on a small number of founders and senior people. The departure or unavailability of any of them could materially damage the business.
  • Funding risk. The ventures require further capital. There is no assurance it will be available, or available on acceptable terms.
  • Competition. We operate in sectors with established local and international competitors, some far better capitalised.
  • Regulatory and legal risk. Our sectors — digital commerce, financial technology, transport, property, workforce and communications — are subject to licensing and regulation that is evolving in Bangladesh. A change in law, or a requirement we fail to anticipate, could restrict or halt a venture.
  • Technology, data and security risk. A breach, outage, data loss or serious defect could cause financial loss, regulatory liability under the Personal Data Protection Act, 2026 and the Cyber Security Ordinance, 2025, and lasting reputational harm.
  • Country risk. Our operations are concentrated in Bangladesh and are exposed to its political, economic, infrastructure, natural-disaster and policy conditions.
  • Currency risk. Our revenue and costs are largely in Bangladeshi Taka. If you invest in another currency, movement in the exchange rate may reduce your return independently of how the business performs.
  • Exchange control and repatriation risk. Remitting capital or profits out of Bangladesh requires compliance with exchange control rules and Bangladesh Bank approvals. Timing and outcome are not within our control.
  • Tax risk. Tax treatment depends on your circumstances and may change. Reliefs are not guaranteed.
  • Minority shareholder position. An investor is likely to hold a minority interest with limited influence over the company’s decisions.

9.Market data and third-party information

We cite the source for every market figure, demographic and sector size on this site — the Bangladesh Bureau of Statistics, the World Bank, BTRC, GSMA, the United Nations and others. We do that so our case can be checked rather than taken on trust.

We reproduce those figures in good faith but have not independently verified or audited them. Publishers revise their estimates, methodologies differ, and a figure correct at the date of publication may be superseded. Independent verification is your responsibility, and we accept no liability for third-party data or for any opinion or forecast contained in it.

10.Foreign investors, exchange control and tax

Investment into a Bangladeshi company by a person resident outside Bangladesh is regulated. Depending on the structure, it may involve:

  • the Foreign Exchange Regulation Act, 1947 and the Guidelines for Foreign Exchange Transactions issued by Bangladesh Bank;
  • inward remittance of the subscription money through formal banking channels, with the encashment certificate that evidences it;
  • registration of the investment with the Bangladesh Investment Development Authority (BIDA) where applicable;
  • Bangladesh Bank reporting and, in some cases, prior approval for share issue, transfer, valuation or repatriation;
  • withholding and other tax under the Income Tax Act, 2023, and the effect of any applicable double taxation treaty.

We will tell you what a given structure requires if a conversation reaches that point, but we cannot and do not advise you on it. Take your own legal and tax advice in both Bangladesh and your home jurisdiction.

11.Identity checks, source of funds and sanctions

Before any investment proceeds we carry out identity, beneficial ownership, source-of-funds and sanctions checks, as required by the Money Laundering Prevention Act, 2012, the Anti-Terrorism Act, 2009 and the circulars of the Bangladesh Financial Intelligence Unit.

  • We may decline an enquiry or an investment without giving a reason.
  • We may be required by law to report a suspicious transaction, and may be prohibited from telling you that we have done so.
  • We do not accept cash, or funds from a third party unconnected to the investor.
  • We do not deal with persons or entities subject to applicable sanctions.

Documents you provide for these checks are handled under our Privacy Policy and retained for the period the anti-money-laundering rules require. Please do not upload identity or financial documents through the web form — we will request them over a secure channel when they are actually needed.

12.Confidentiality of anything we share with you

Material we provide beyond this website — a deck, a financial model, a data room, or a written answer to your diligence questions — is confidential and provided solely so that you can evaluate a possible investment.

You must not copy, distribute, publish or disclose it to anyone except your own professional advisers, who must be bound to the same terms, and you must return or destroy it on request. Where we ask you to sign a non-disclosure agreement first, that agreement governs and prevails over this clause.

13.No reliance and no representation

No representation or warranty, express or implied, is given as to the accuracy, completeness, reasonableness or fairness of any information or opinion on this site or in any material we share. Information is given as at its date and may become inaccurate without notice.

Any decision to invest must be based solely on your own investigation and on the terms of a final, signed transaction document — including the representations and warranties actually given in it. Those documents supersede everything published here, and in the event of any inconsistency they prevail.

14.Limitation of liability

To the fullest extent permitted by law, neither Global 360 Ventures Group nor its directors, officers, employees, advisers or agents accepts any liability for any loss — direct, indirect or consequential, including any loss of profit or of capital — arising from the use of, or reliance on, this website, our investor pages, or any material we make available.

Nothing in this notice excludes or limits any liability for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

15.Governing law and jurisdiction

This notice is governed by the laws of the People’s Republic of Bangladesh, and the courts of Dhaka have exclusive jurisdiction over any dispute arising from it, subject to the dispute resolution procedure in our Terms of Use.
